Service

The work before the deal.

Most of what shapes a sale happens long before anyone makes an offer. You do the preparation early, and we help you do it well.

M&A and exits is a Regenerate Capital service for founders thinking about selling, merging or acquiring. Our team helps you ready the company, from clean numbers to reduced founder dependence, maps potential buyers or targets, prepares first conversations and helps you think through deal structure alongside your lawyers and accountants. It is preparation and introductions, never a promised outcome.

Sound familiar?

Do you have these problems?

  • You’ve received an unsolicited offer and have no idea whether it’s fair.
  • Everything important in the company runs through you, and a buyer would notice.
  • Your books, contracts and cap table would not survive a week of due diligence.
  • You want an exit in three to five years but haven’t started preparing.
  • You’re considering buying a competitor and don’t know where to start.
  • You and your co-founders don’t agree on what a good outcome looks like.

Our approach

How we solve them.

01

Clarify what you want

We start with your goals and your co-founders’: timing, role after a deal, what matters beyond price. That shapes everything else.

02

Think like a buyer

We review the company through a buyer’s eyes and list what would slow a deal down or reduce confidence.

03

Fix the foundations

We help you clean up numbers, documents and processes, and reduce how much the business depends on you personally.

04

Map the field

We identify who might buy, merge with or be acquired by you, and prepare the first conversations carefully.

05

Work alongside your advisors

We help you think through structure and terms, while your lawyers and accountants handle the legal and tax side.

02

Capital partner GDA Group

Our capital partner, GDA Group, brings investment banking, equity and debt capital to the table.

03

An investor’s view

As a Founding Partner of GDA Capital, Joaquim has seen 70+ companies from the investor’s side of the table.

Do it yourself

Resources to solve it yourself.

Start this week

  • Write down what a good outcome looks like for you in five years: role, timing, money and what happens to your team.
  • List every process that only you know how to run, and pick one to document this week.
  • Put your cap table, key contracts and IP assignments in one folder and see what’s missing.
  • If you received an offer tomorrow, write down who you would call first. If the list is empty, start building it.

Questions

Straight answers.

Can you guarantee a sale or a price?

No. We help you prepare, map potential buyers and make introductions where there is a fit, but outcomes depend on the market and the parties. Nothing here is investment, legal or tax advice.

How early should I start preparing?

Ideally a year or more before you expect a deal. Much of the work, like reducing founder dependence and cleaning up documents, takes time to do properly.

How do you charge for this?

Terms are flexible and shaped around your startup: equity, cash, commission, in-kind or a mix, always agreed in writing before we start.
