It describes, in general terms, how the studio thinks and works. It is not a promise, representation, warranty, undertaking or commitment of any kind, to invest, to incubate, to accelerate, to provide a service, to admit anyone to the Regenerate Syndicate, to respond within any timeframe, or to act on any stated thesis. No statement on this website creates any contractual, fiduciary, advisory, agency, partnership, employment or other relationship between you and Regenerate Capital, its founder, team members, affiliates or studio companies. ## Case by case, subject to approvals Descriptions of the studio’s practices (Invest, Incubate, Accelerate), services, sectors, engagement structures, indicative terms, cheque sizes, instruments, processes, timelines and the Regenerate Syndicate are illustrative and indicative only. Their availability, scope and terms vary by jurisdiction, sector, stage, service, counterparty and circumstance. Every potential engagement or investment is assessed individually and remains subject, among other things, to due diligence, the studio’s internal approval, legal, tax and regulatory review, applicable securities and other laws, and the negotiation and execution of definitive written agreements. Nothing is binding on the studio unless and until it is set out in a definitive written agreement signed by an authorized representative of Regenerate Capital. ## Changes at any time We may change, update, suspend or withdraw any content, practice, service, sector focus, program, process, indicative term or part of the website, including this page, at any time and without notice. The date at the bottom of this page shows when it was last updated. ## No offer or solicitation of securities Regenerate Capital is a private venture studio that invests its own capital. It does not manage third-party capital and does not solicit investment from the public. Nothing on this website constitutes an offer to sell, or a solicitation of an offer to buy, any security, token, fund interest or other financial instrument, in any jurisdiction, nor a recommendation to buy, sell or hold any of them. The Regenerate Syndicate is described for information only. Any investment opportunity is shared only with persons whose status as accredited investors or permitted clients (or equivalent) has been verified, in reliance on available exemptions from prospectus and registration requirements, in Canada, including National Instrument 45-106 *Prospectus Exemptions*, and only through the offering and legal documents provided for that specific opportunity, which govern exclusively. In providing this website, Regenerate Capital does not act as a dealer, adviser or investment fund manager. ## Sources of capital, the syndicate and partners Depending on the company, the stage and the jurisdiction, capital may come from the studio, from members of the Regenerate Syndicate investing deal by deal, or from partner firms, including GDA Group. The source, amount and terms of any capital are decided case by case and set out only in the definitive documents for each transaction. **The syndicate.** The Regenerate Syndicate is open only to verified accredited investors or permitted clients (or the equivalent in their jurisdiction). There is no pooled fund and no capital commitment: each opportunity is offered deal by deal, each deal is documented separately, and each member decides individually whether to participate. The studio does not charge syndicate members fees. **Partners.** Partner firms, including GDA Group, Holt Xchange and Form Fintech, operate independently under their own registrations, licences and agreements. A partnership does not make Regenerate Capital responsible for a partner’s activities, and does not imply any offer of securities by the studio or by the partner. ## Jurisdictional restrictions The website is not directed at, and its content is not intended for, any person in any jurisdiction where its publication, availability or use would be contrary to law or would require any registration, licence or filing. Services, programs and the Regenerate Syndicate may not be available in every jurisdiction, sector or situation. As is customary in early-stage investing, the studio generally does not sign non-disclosure agreements at the application stage. ## Fraud and impersonation warning Regenerate Capital never charges a fee to apply, to be considered for investment, or to join the Regenerate Syndicate, and never asks anyone to send money, cryptocurrency or payment details by email, message or phone. Genuine communications from the studio come from an @regenerate.capital address. Any investment is made only under signed definitive documents. This website and these terms are available in French and in English. In the event of any inconsistency, the French version prevails, except where the law provides otherwise. Questions, requests and complaints can be sent to our privacy officer at [hello@regenerate.capital](mailto:hello@regenerate.capital). ## What we collect - **Company applications:** name, email, company, website or deck link, stage, sector, needs and your message. - **Syndicate applications:** name, email, investor type, firm, jurisdiction, typical cheque size, sectors of interest, LinkedIn profile, how you heard of us, your message and your self-certification of accredited-investor status. - **Subscriptions:** email address and the role you select. - **Scheduling:** if you book a call, the scheduling provider collects the details you enter under its own policy. - **Technical data:** our hosting provider automatically processes standard technical information (such as IP address, browser type, pages requested and timestamps) to deliver and secure the website. We collect only what is necessary for the purposes below. Please do not send sensitive personal information we have not asked for. ## Why we use it, and consent We use personal information to review and respond to applications and requests; to schedule and hold conversations; to assess eligibility for the Regenerate Syndicate, including verifying accredited-investor status; to send the notes you asked to receive; to operate, secure and improve the website; and to meet legal obligations. By submitting a form, you consent to these uses. You may withdraw your consent at any time, subject to legal or contractual restrictions; withdrawing may prevent us from responding to your request. You can unsubscribe from our notes at any time, in line with Canada’s anti-spam legislation. Personal information in an application to one studio program is not shared outside the studio for another purpose without your consent. ## Information held outside Québec Some of our service providers store or process information outside Québec and outside Canada, including in the United States. Before communicating personal information outside Québec, we take the steps required by applicable law to confirm that it will receive adequate protection, and we rely on contractual safeguards. Information held in another jurisdiction may be accessible to that jurisdiction’s authorities under its laws. ## Retention and security We keep personal information only as long as necessary for the purposes for which it was collected, or as required by law, after which it is destroyed or anonymized. We use reasonable administrative, technical and physical safeguards appropriate to the sensitivity of the information. No method of transmission or storage is completely secure. If a confidentiality incident presents a risk of serious injury, we will notify the Commission d’accès à l’information and the people concerned as required by law, and we keep a register of confidentiality incidents. ## Your rights Subject to the law, you may ask to access the personal information we hold about you, to have it corrected or completed, to withdraw your consent, to have it deleted or de-indexed where applicable, and to receive computerized information you provided in a structured, commonly used technological format.
